GmbH
The limited liability company (GmbH) is the most popular type of corporation in Austria. The liability of the shareholders is limited to their capital contribution. Since 2024, the minimum share capital is only EUR 10,000, of which at least half (EUR 5,000) must be paid in upon formation.
Explanation
The GmbH is a legal entity with its own legal personality. It is formed by entry in the commercial register and requires a notarised articles of association for this purpose. For the commercial register entry, a registered office with a registered address must be provided. The GmbH is suitable for sole founders and teams who wish to protect their private assets. Ongoing administration includes annual financial statements, tax returns and compliance with company law obligations. Since 2024, a simplified formation procedure is also available.
Why does this matter?
Founders of a GmbH need a registered business address in Austria for the commercial register entry. This must already be established at the time the articles of association are notarised. A professional business address in the 1st district conveys credibility to banks, customers and authorities.
