In a GmbH & Co KG, the general partner (the fully liable partner) is a GmbH. This means the unlimited liability is also limited to the assets of the GmbH.
How high does the limited partner's contribution have to be?
There is no statutory minimum for the limited partner's contribution. The partners can set the amount freely in the partnership agreement.
Can a limited partner be a managing director?
No, the limited partner generally has no management or representation rights. These rest with the general partner. A commercial power of attorney (Prokura) is possible, however.
When is a limited partner liable beyond their contribution?
A limited partner is only liable beyond their liability contribution if they have not fully paid in their contribution or if contributions have been repaid to them.
