How much a limited partner risks is set by the liability amount in the commercial register: up to that figure they are directly liable to creditors, and only to the extent they have not yet paid in their contribution (§ 171(1) UGB).

GmbH as general partner

With a GmbH & Co KG, the general partner's liability can be limited as well.

The liability amount remains a ceiling as long as the money stays in the partnership. If the contribution is repaid, it counts as not paid in towards creditors; the same applies to profit withdrawals while earlier losses have not yet been offset by later profits (§ 172(3) UGB). An agreement waiving or deferring a limited partner's contribution has no effect towards creditors.

GmbH & Co KG: the general partner's liability is limited too

If the general partner is a GmbH, it is liable without limit, but only with the assets of that GmbH. You form the general partner GmbH first, as described on Form a GmbH; it needs a business address as well.

Registration

Commercial register requirements

The KG must be entered in the commercial register (Firmenbuch). Both the general partners and the limited partners are recorded, along with each limited partner's liability contribution.

The register shows, among other things, the company name, legal form, seat and the business address relevant for service of documents (§ 3 FBG), the general partners authorised to represent the KG, and the name, date of birth and liability amount of each limited partner (§ 4 no. 6 FBG). A limited partner joining or leaving later is filed in the same way.

Liability amount, Prokura, general partner GmbH: what founders of a limited partnership ask most often.

In a GmbH & Co KG, the general partner (the fully liable partner) is a GmbH. This means the unlimited liability is also limited to the assets of the GmbH.

There is no statutory minimum for the limited partner's contribution. The partners can set the amount freely in the partnership agreement.

No, the limited partner generally has no management or representation rights. These rest with the general partner. A commercial power of attorney (Prokura) is possible, however (§ 170 UGB).

A limited partner is only directly liable to creditors if they have not fully paid in their contribution or if contributions have been repaid to them, and even then only up to the liability amount entered in the commercial register (§ 171 and § 172 UGB).

If the KG already acts in its own name after the partnership agreement is concluded and before registration, the limited partner is liable for those obligations up to their liability amount (§ 176 UGB). For limited partners joining an existing partnership, this applies until their own registration.
