For cash contributions, at least one quarter of the lowest issue price must be called in, which is EUR 17,500 for the minimum capital. If shares are issued above that amount, the surplus is added. Contributions in kind are made in full right away.

The costs of formation come on top of the capital. The notary's fee for certifying the articles follows the Notarial Tariff Act, the fees for entry in the commercial register follow the Court Fees Act. The notary who supports your AG will give you a specific quote.

Management board and supervisory board

The AG has a three-tier governance structure with a clear division of tasks: the management board runs the company, the supervisory board oversees it, the general meeting decides on the fundamentals.

What is a stock corporation (AG)?

The Aktiengesellschaft (AG), the Austrian stock corporation, is a capital company whose share capital is divided into shares. It suits larger companies and offers a strict separation between ownership and management.

Liability is limited to the company assets. Shareholders carry the risk up to the amount of their contribution, while the management board runs the business.

From share capital to mail for the management board: what founders of a stock corporation ask most often.

An AG can be formed by a single person as well (a one-person AG), as § 2 of the Stock Corporation Act provides. For the supervisory board, however, at least 3 members are required, and they must be natural persons (§ 86 AktG).

In addition to the share capital of at least EUR 70,000, there are notary fees, court fees and, where applicable, advisory costs. Notary fees follow the Notarial Tariff Act, the fees for entry in the commercial register follow the Court Fees Act. For cash contributions, at least one quarter of the lowest issue price, so EUR 17,500 for the minimum capital of EUR 70,000 (§ 28a AktG). If the issue price is higher, the surplus must also be paid in. Contributions in kind are made in full right away.

For small companies, the AG is usually not the optimal choice because of the high share capital and the complex governance structure. A GmbH offers similar limited liability with less effort.
