What is an Offene Gesellschaft (OG)?

The Offene Gesellschaft (OG) is a general partnership in which at least two partners run a business together. All partners are liable without limit and jointly with their entire personal assets.

The statute puts it the same way: the OG trades under its own company name, has legal capacity, and none of its partners can limit their liability (§ 105 UGB). It may pursue any lawful purpose, including the liberal professions.

Liability of the partners

In an OG, all partners are liable without limit and jointly. That means maximum responsibility, but also maximum trust.

The legal basis is § 128 UGB: the partners are liable to creditors as joint debtors without limit, and any agreement to the contrary has no effect on third parties. Whatever you agree among yourselves applies only between the partners.

Unlimited liability

Every partner is liable with their entire personal assets for the debts of the OG.

Joint liability

Creditors can turn to any individual partner for the full amount of the debt.

Important note on liability

Because of the unlimited liability, the OG is particularly suitable for partners who trust each other and actively work in the business. If you want to limit liability, a GmbH or KG might be the better choice.

The partnership agreement

To set up an OG you need a partnership agreement. It governs the rights and obligations of all partners.

The checklist separates what has to be settled in any case, because it also goes into the register application, from what partners should add so that later disagreements have a clear answer.

What the agreement can and cannot settle

The agreement allocates profits, withdrawals and losses between the partners. It does not change liability towards creditors, which § 128 UGB expressly rules out. A partner who joins later is also liable for existing debts (§ 130 UGB).

Commercial register entry of the OG

The OG only comes into existence upon entry in the commercial register (§ 123 UGB). For this you need a registered business address as the official registered office of the partnership.

The registration process:

  1. Book a virtual office and sign the contract

  2. Draft the partnership agreement

  3. File the commercial register application with the competent register court (in Vienna, the Commercial Court of Vienna)

  4. Complete the trade registration

  5. Register with the tax office

Required for the registration:

  • Partnership agreement (certified are the signatures on the application, not the agreement itself)
  • Contract for the business address
  • Copies of ID for all partners
  • Commercial register application form
  • Court fee under the Court Fees Act

Whatever the partners agree in the OG's name between signing the agreement and the entry binds and entitles all partners; on entry, the OG itself takes over these contracts (§ 123(2) UGB). You can therefore book the business address beforehand and state it in the application.
